Help selling domain?

Is my web designer going to get in the way of selling my domain name?

I had my site designed professionally in 2004. I now want to sell this website... but... there are things on my web design contract that I totally missed and I think might get in the way.

Here is what is says:

All web page design/graphic content, other than %26quot;The Client%26#039;s%26quot; provided information/images, remain the property of %26quot;The Vendor%26quot;

This design, in whole or in part, may be placed or duplicated elsewhere only by %26quot;The Vendor%26quot;. Any other use, in whole or in part, constitutes a contract for the services of %26quot;The Vendor%26quot; and a fee for design services will be due and payable accordingly.

Does this mean I can%26#039;t profit from his design without tipping him off? Or I can%26#039;t sell the domain as is because he owns the design and I have to tip him off or something? I don%26#039;t know I%26#039;m really confused.

No that is not what it means if the designer has the username and password information then yeah you do have to tip him off but if he doesn%26#039;t and you have the username and password to login then you can simply sell it and give another person the username and password.
